GENERAL TERMS AND CONDITIONS OF SALE

1. SCOPE AND APPLICATION

1.1 Services Provided Bridgers provides specialized technical services:

  • Data center equipment installation and maintenance
  • Network infrastructure deployment
  • Structured cabling services
  • Emergency technical support
  • Equipment configuration and commissioning

1.2 Acceptance Any order implies unconditional acceptance of these Terms and Conditions.


2. ORDERS AND QUOTES

2.1 Quotations

  • Free quotes valid for 30 days
  • Fixed prices, non-revisable except written agreement
  • Acceptance by signature or commencement of work

2.2 Orders

  • Orders via email, phone, or client platform
  • Systematic written confirmation
  • Modifications possible before intervention begins

2.3 Cancellation

  • Free cancellation 24h before intervention
  • Cancellation fee: 50% of amount if < 24h
  • Travel costs due if technician already en route

3. SERVICES AND PROCEDURES

3.1 Intervention Location

  • On-site interventions at client or third-party facilities
  • Secure access required (badges, escorts)
  • Compliant security conditions

3.2 Intervention Hours

  • Business Hours: Monday-Friday 8:00-18:00
  • Premium Hours: Evenings, weekends, holidays
  • Emergency: Available 24/7 with special pricing

3.3 Minimum Duration

  • Business hours: 2-hour minimum
  • Premium hours: 4-hour minimum
  • Emergency: 4-hour minimum + travel time

4. PRICING AND BILLING

4.1 2024 Rates

  • Senior Technician: €80/hour (business hours)
  • Senior Technician: €120/hour (premium hours)
  • Emergency: €150/hour + travel surcharge
  • Travel: €0.50/km beyond 50km radius

4.2 Additional Costs

  • Accommodation and meals: actual cost
  • Materials and consumables: cost price + 15%
  • Tolls and parking: actual cost

4.3 Rate Revision

  • Annual revision possible
  • 30-day notice period
  • Applied to new orders only

5. PAYMENT TERMS

5.1 Payment Methods

  • Monthly invoicing
  • Payment due 30 days from invoice date
  • Payment by bank transfer

5.2 Late Payment

  • Penalties: 3 times legal rate
  • Fixed compensation: €40 (Commercial Code L441-6)
  • Service suspension after 60 days

5.3 Retention of Title

  • Ownership of supplied equipment reserved until full payment
  • Recovery possible in case of non-payment

6. PARTY OBLIGATIONS

6.1 Client Obligations

  • Provide secure access to intervention areas
  • Communicate accurate technical information
  • Coordinate system shutdowns if necessary
  • Respect payment deadlines

6.2 Bridgers Obligations

  • Respect agreed schedules
  • Provide qualified and certified personnel
  • Apply security rules
  • Maintain confidentiality

7. LIABILITY AND WARRANTIES

7.1 Liability Limitation

  • Liability limited to service amount
  • Exclusion of indirect or intangible damages
  • Professional liability insurance coverage

7.2 Service Warranty

  • 90-day warranty on performed services
  • Warranty void if client modifications
  • Free correction of proven defects

7.3 Force Majeure

  • Suspension of obligations during force majeure
  • Standard definition per French law
  • Contract termination if > 90 days

8. CONFIDENTIALITY

8.1 Mutual Confidentiality

  • All technical and commercial information confidential
  • Written authorization required for disclosure
  • Obligation continues post-contract

8.2 Data Protection

  • GDPR compliance for personal data
  • Secure handling of client information
  • No unauthorized data retention

9. INTELLECTUAL PROPERTY

9.1 Pre-existing Rights

  • Each party retains pre-existing IP rights
  • No transfer of ownership implied
  • License limited to service performance

9.2 Service Documentation

  • Technical reports remain Bridgers property
  • Client receives usage rights only
  • No reproduction without authorization

10. DISPUTE RESOLUTION

10.1 Amicable Resolution

  • Good faith negotiation required
  • 30-day resolution period
  • Written documentation of disputes

10.2 Applicable Law

  • French law governs these terms
  • Jurisdiction: Commercial Court of Aix-en-Provence
  • English version for reference only

11. GENERAL PROVISIONS

11.1 Contract Modification

  • Written modifications only
  • Mutual agreement required
  • No verbal amendments

11.2 Severability

  • Invalid clauses don’t affect remaining terms
  • Automatic replacement with valid equivalent
  • Contract remains enforceable

11.3 Assignment

  • No assignment without written consent
  • Subcontracting permitted with notification
  • Original party remains liable
