GENERAL TERMS AND CONDITIONS OF SERVICE

1. SCOPE OF SERVICES

1.1 Service Description Bridgers provides on-site technical services including:

  • Data center equipment installation and maintenance
  • Network infrastructure setup and troubleshooting
  • Hardware installation and configuration
  • Emergency technical support
  • Cable management and structured cabling

1.2 Service Locations Services are provided at client premises, third-party facilities, and data centers across France and Europe.


2. ENGAGEMENT TERMS

2.1 Service Hours

  • Business Hours: Monday-Friday, 8:00-18:00 (€80/hour)
  • After Hours: Evenings, weekends, holidays (€120/hour)
  • Emergency Services: Available 24/7 with premium rates

2.2 Minimum Charges

  • Business hours: 2-hour minimum
  • After hours: 4-hour minimum
  • Emergency calls: 4-hour minimum + travel time

2.3 Travel and Expenses

  • Travel time charged at 50% of hourly rate
  • Mileage: €0.50/km beyond 50km radius
  • Accommodation and meals billed separately for multi-day projects

3. CLIENT OBLIGATIONS

3.1 Site Access

  • Client must provide secure access to work areas
  • All necessary safety clearances and badges
  • Escort services if required by facility security

3.2 Equipment and Environment

  • Client responsible for providing safe working conditions
  • Power shutdown coordination when required
  • Backup procedures for critical systems

3.3 Information Accuracy

  • Client must provide accurate technical specifications
  • Timely notification of any changes to requirements
  • Access to relevant documentation and passwords

4. LIMITATION OF LIABILITY

4.1 Service Limitations

  • Bridgers’ liability limited to direct damages only
  • Maximum liability: amount paid for specific service
  • No liability for consequential or indirect damages

4.2 Equipment Responsibility

  • Client equipment remains client’s responsibility
  • Bridgers not liable for pre-existing conditions
  • Warranty void if client modifies our work

4.3 Force Majeure

  • No liability for delays due to circumstances beyond control
  • Includes power outages, network failures, facility access issues

5. CONFIDENTIALITY

5.1 Non-Disclosure

  • All client information treated as confidential
  • Technicians bound by confidentiality agreements
  • No disclosure of security procedures or network configurations

5.2 Data Protection

  • Compliance with GDPR and French data protection laws
  • Client data processed only as necessary for service delivery
  • No retention of client data beyond service period

6. PAYMENT TERMS

6.1 Invoicing

  • Monthly invoicing for regular services
  • Immediate invoicing for emergency services
  • Payment due within 30 days of invoice date

6.2 Late Payment

  • 5% penalty on overdue amounts
  • Service suspension after 60 days overdue
  • Recovery costs charged to client

7. TERMINATION

7.1 Contract Termination

  • Either party may terminate with 30 days written notice
  • Immediate termination for breach of contract
  • Outstanding invoices remain due

7.2 Post-Termination

  • Return of client property and access credentials
  • Confidentiality obligations continue indefinitely
  • No refund for services already provided

8. GENERAL PROVISIONS

8.1 Governing Law These terms are governed by French law. Any disputes subject to jurisdiction of French courts.

8.2 Modifications Terms may be updated with 30 days notice. Continued use constitutes acceptance.

8.3 Severability Invalid provisions do not affect validity of remaining terms.
